Terms of service

Last updated: September 1, 2026

These Terms of Service (“Terms”) govern access to caribekit.com and purchases from CBDM Services B.V., trading as Caribe Kit (“Caribe Kit”, “we”, “us”, or “our”). CBDM Services B.V. is registered in Curaçao under Chamber of Commerce number 171565.

By placing an order, requesting a quotation, or otherwise using our services, you agree to these Terms. If you do not agree, you must not place an order or use the relevant service.

1. Business Customers Only

Our webshop is intended exclusively for business customers, including hotels, resorts, property managers, vacation-rental operators, hosts acting in a professional capacity, and other hospitality or commercial organisations.

By placing an order, you represent that you are acting for purposes relating to a business or profession and that you are authorised to bind the organisation on whose behalf you order.

We may reject or cancel an order if we reasonably determine that the customer is not acting in a business or professional capacity. Any payment received for an order cancelled on that basis will be refunded.

2. Seller Information and Contact

3. Product Information

We take reasonable care to present product descriptions, images, formats, quantities, ingredients, packaging, and prices accurately. Images are illustrative and colours, packaging details, or minor production characteristics may vary within reasonable commercial tolerances.

Customers must review the product information and labels before using, supplying, or reselling products. Website content does not replace product labels, usage instructions, or customer-specific professional advice.

4. Orders and Contract Formation

Placing an order constitutes an offer to purchase the selected products. An automatic order-receipt or payment message confirms receipt but does not by itself mean that we have accepted the order.

An order is accepted when Caribe Kit sends an acceptance or processing confirmation or begins processing the order, whichever occurs first.

We may refuse or cancel an order before acceptance because of unavailability, an obvious price or content error, suspected fraud, delivery limitations, or another reasonable commercial cause. If payment has already been received, the affected amount will be refunded.

5. Availability and Substitutions

All products are subject to availability. If an ordered product is unavailable, we may offer an alternative, propose a revised delivery moment, or cancel and refund the affected item.

We will not substitute a product without the customer’s agreement.

6. Prices and Taxes

Webshop prices are displayed in Caribbean guilders (XCG) and include applicable Curaçao turnover tax (OB), unless expressly stated otherwise.

Shopify may technically record the store currency as ANG because XCG is not currently supported as a separate platform currency. Any public XCG presentation is intended to represent the same value on a one-to-one basis.

We may change prices at any time, but a change will not affect an order already accepted. If a price, discount, tax, or product detail contains an obvious error, we may correct the error and ask the customer to confirm the corrected order or cancel and refund it before delivery.

7. Delivery Charges

Standard local delivery is free for orders above XCG 99.

A charge may apply to orders of XCG 99 or less. Additional charges may also apply to delivery locations towards Westpunt or to delivery requested on a public holiday, regardless of order value.

Any applicable charge will be shown during checkout or agreed before the order is accepted.

8. Payment

Webshop orders must be paid in full before processing. Available payment methods are shown during checkout and may be provided through Sentoo or another displayed payment provider.

Payment on invoice or credit terms is available only where Caribe Kit has approved this in writing. The applicable due date and conditions will be stated on the relevant invoice, quotation, or agreement.

The customer is responsible for ensuring that payment information is accurate and that the selected payment method is authorised.

9. Cancellation by the Customer

A webshop order may be cancelled without charge only before it has been accepted, processed, or prepared for delivery. Contact us immediately by email or WhatsApp if cancellation is requested.

After processing has begun, cancellation or return is governed by the Refund Policy. White-label or customer-specific orders are governed by their separate quotation or agreement.

10. Delivery

We currently deliver standard webshop orders only in Curaçao. Processing and delivery times are estimates and are not guaranteed unless expressly confirmed in writing.

The customer must provide complete and accurate delivery information and ensure that an authorised person is available to receive the order. Additional reasonable costs may be charged for a failed delivery caused by incorrect or incomplete details, an inaccessible location, or the absence of an authorised recipient.

11. Inspection and Claims

The customer must inspect the order as soon as reasonably possible after delivery. Visible damage, shortages, or incorrect products must be reported within 48 hours. A hidden defect must be reported as soon as reasonably possible after discovery.

The report should include the order number, a description of the issue, and photographs where reasonably helpful. Failure to report promptly may affect our ability to verify and resolve the matter, but does not exclude rights that cannot lawfully be excluded.

12. Returns and Refunds

Business customers have no automatic right to return correctly supplied products because of a change of mind.

Caribe Kit may approve a request made within 7 calendar days after delivery where products are unused, unopened, undamaged, and in their original packaging. Prior approval is required. The customer bears the reasonable return or collection costs for correctly supplied products.

Where Caribe Kit supplied an incorrect, damaged, or defective product, Caribe Kit will bear the reasonable agreed cost of collection, replacement, or another appropriate solution.

Further details are provided in our Refund Policy, which forms part of these Terms.

13. Transfer of Risk and Ownership

Risk passes to the customer when the order is handed to the customer or to an employee, representative, or other person receiving it at the agreed delivery address.

Ownership of products remains with Caribe Kit until all amounts due for those products have been paid in full.

14. Product Use and Resale

Customers may provide Caribe Kit products to guests as part of their hospitality operations and may also resell the products separately.

The customer is responsible for appropriate storage, handling, use, and resale; compliance with the product label and applicable laws; and ensuring that labels, instructions, batch information, and safety information are not removed, obscured, altered, or presented misleadingly.

Caribe Kit is not responsible for loss or damage caused by storage, handling, use, modification, repackaging, or resale contrary to the label, product information, or applicable law.

15. White-Label and Custom-Branded Orders

White-label, custom-branded, personalised, or customer-specific orders follow a separate quotation and written agreement. Those documents may cover specifications, minimum quantities, artwork approval, samples, production tolerances, deposits, payment milestones, lead times, delivery, cancellation, and intellectual property.

If a customer-specific quotation or agreement conflicts with these Terms, the customer-specific document takes precedence for that order.

16. Quotations

The validity period of a quotation is the period stated in that quotation. A quotation is not binding after its stated expiry date unless Caribe Kit confirms an extension in writing.

Unless expressly stated otherwise, a quotation is an invitation to place an order and remains subject to final acceptance, availability, and the customer-specific conditions shown in it.

17. Intellectual Property

The Caribe Kit name, logo, website, product photography, text, graphics, designs, and other brand materials are owned by or licensed to CBDM Services B.V. They may not be copied, reproduced, modified, distributed, or commercially used without prior written permission.

Ownership and authorised use of customer trademarks, artwork, packaging designs, and other materials for white-label work will be governed by the applicable customer-specific agreement.

18. Privacy and Communications

Personal information is processed according to our Privacy Policy. Transactional messages may be sent when necessary for an order, payment, delivery, return, quotation, or enquiry.

Placing an order does not automatically subscribe the customer to marketing communications. Marketing messages will be sent only where an appropriate basis exists, and recipients can unsubscribe from promotional email.

19. Third-Party Services

Our website may use third-party services such as Shopify, Sentoo, banks, Meta, Google, WhatsApp, and email or communication providers. Their services may be subject to their own terms and privacy notices.

We are not responsible for an interruption or failure caused exclusively by a third-party service outside our reasonable control, but we will take reasonable steps to assist with an affected order where appropriate.

20. Limitation of Liability

To the maximum extent permitted by Curaçao law, Caribe Kit is not liable for indirect, incidental, special, or consequential loss, loss of profit, loss of revenue, loss of business opportunity, or reputational loss arising from an order or use of the website.

Caribe Kit’s total liability arising from a particular order will not exceed the amount paid or payable for that order.

These limitations do not apply to liability that cannot legally be excluded or limited, or to loss caused by intentional misconduct or gross negligence by Caribe Kit.

21. Force Majeure

Caribe Kit is not liable for delay or failure caused by circumstances reasonably outside its control, including extreme weather, natural disasters, port or customs delays, import restrictions, government measures, transport disruption, utility or communications failures, labour disputes, supplier failures, epidemics, or similar events.

We will take reasonable steps to limit the effect of the event and will inform affected customers when practicable. If performance becomes impossible or commercially unreasonable for an extended period, either party may cancel the unperformed portion, subject to payment for products or services already supplied or irreversibly committed.

22. Complaints and Dispute Resolution

A complaint or dispute must first be submitted to Caribe Kit through info@caribekit.com or WhatsApp +599 9 525 6029, with sufficient information for us to review it.

The parties will attempt in good faith to resolve the dispute for 60 calendar days after the written complaint is received before starting ordinary court proceedings.

This period does not prevent either party from seeking urgent or interim relief, preventing expiry of a legal time limit, collecting an undisputed overdue debt, or taking another measure that cannot reasonably wait.

23. Governing Law and Court

These Terms and all orders or disputes arising from them are governed by the laws of Curaçao.

If a dispute is not resolved through the procedure above, it will be submitted to the competent court in Curaçao, unless mandatory law requires otherwise.

24. Changes to These Terms

We may update these Terms for future use of the website and future orders. The applicable version is the version available when an order is placed, unless a later version is expressly agreed in writing.

25. Severability and Entire Agreement

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be interpreted or replaced as closely as legally possible to its original commercial purpose.

These Terms, together with the accepted order, Refund Policy, Shipping Policy, Privacy Policy, and any applicable quotation or customer-specific agreement, form the agreement between the parties for the relevant transaction.

26. Language

These Terms are prepared in English. If a translation is provided, the English version prevails in the event of inconsistency, unless mandatory law requires otherwise.
